Soluture is not responsible for losses resulting from credentials that are improperly disclosed, shared, or otherwise compromised due to the customer’s or user’s actions.
Business and Customer Data
Customers may provide or process business information, operational data, financial information, employee information, customer information, or other data through Soluture applications and services.
Customers remain responsible for ensuring that they have the necessary rights, permissions, and lawful basis to provide such information to Soluture for processing.
Soluture will process customer data only as reasonably necessary to provide, maintain, secure, and support the applicable services, subject to the relevant customer agreement and our Privacy Policy.
Customers remain the owners of their data and do not transfer ownership of their data to Soluture by using our services.
Service Availability
Soluture aims to provide reliable and secure services; however, we do not guarantee that our website, applications, platforms, or services will always be available, uninterrupted, or error-free.
Services may occasionally be unavailable due to:
Scheduled maintenance or updates
Security measures or technical issues
Third-party infrastructure or service interruptions
Internet, telecommunications, or network failures
Events beyond our reasonable control
Where reasonably practical, Soluture may provide notice of planned maintenance or significant service interruptions.
Third-Party Services and Platforms

You may not reproduce, modify, distribute, sell, license, publish, or create derivative works from Soluture’s intellectual property without our prior written permission.
Customer Materials
Customers retain ownership of content, information, documents, data, and other materials submitted to Soluture in connection with our services.
By providing such materials, you grant Soluture the limited rights necessary to host, process, transmit, store, and use them solely to provide and support the services.
Customers are responsible for ensuring that submitted materials do not violate applicable laws or the rights of third parties.
Fees and Payments
Certain Soluture services may be subject to fees, subscriptions, implementation charges, professional service fees, or other commercial charges.
Applicable pricing, payment terms, billing arrangements, renewal periods, and other commercial conditions will be communicated through the relevant quotation, proposal, order form, service agreement, or customer contract.
Unless otherwise agreed in writing, customers are responsible for paying applicable fees within the agreed payment period.
Soluture reserves the right to suspend or restrict services for overdue payments, subject to applicable contractual terms and law.
Confidentiality
Each party may receive confidential or commercially sensitive information from the other party in connection with the provision or use of Soluture services.
Each party agrees to protect confidential information and use it only for the purposes for which it was disclosed.
Confidentiality obligations do not apply to information that:
Is publicly available without breach of these Terms
Was already lawfully known to the receiving party
Is independently developed without using confidential information
Must be disclosed by law, regulation, or valid legal process
Where legally permitted, the receiving party will provide reasonable notice before making a legally required disclosure.
Privacy and Data Protection

To the extent permitted by applicable law, you agree to indemnify and hold Soluture, its officers, employees, affiliates, and service providers harmless from claims, losses, liabilities, damages, and reasonable expenses arising from:
Your unauthorized or unlawful use of our services
Your violation of these Terms
Your violation of applicable laws or regulations
Your infringement of the rights of another party
Materials or data submitted by you that cause a third-party claim
This provision does not apply to the extent that a claim results from Soluture’s own unlawful conduct, negligence, or breach of its contractual obligations.

Force Majeure
Soluture will not be responsible for delays or failure to perform its obligations where such failure results from circumstances beyond its reasonable control.
Such circumstances may include natural disasters, acts of government, war, terrorism, civil unrest, major infrastructure failures, telecommunications outages, cyber incidents, pandemics, labour disputes, or failures of third-party infrastructure.
Where reasonably possible, Soluture will take appropriate steps to minimize the impact of such events.
Governing Law and Disputes
These Terms are governed by the applicable laws of the United Arab Emirates.
Any dispute arising from or relating to these Terms or the use of Soluture services will be subject to the jurisdiction of the competent courts of the United Arab Emirates, unless a separate written agreement between Soluture and the customer provides otherwise.
Nothing in this section prevents either party from seeking urgent or interim relief from a court of competent jurisdiction where permitted by applicable law.

Soluture may update these Terms from time to time to reflect changes to our services, business practices, legal requirements, or security standards.

Where there is a conflict between these Terms and a specific written customer agreement, the terms of the specific customer agreement will prevail to the extent of that conflict.
